Services Provided
CTM offers AI-assisted website development and design services, refined, optimized, and managed by human professionals. Services may include:
- Sales / Landing Page Builds
- Website Refreshes
- Custom Website Development
- Website Hosting (CTM Hosted Account)
- Website Maintenance Plans
- Basic SEO Structuring
- Domain Connection Assistance
- Basic Integrations (forms, booking tools, payment links, etc.)
Project scope varies based on the selected package or proposal. Any services requested beyond the agreed scope are considered out-of-scope and require a separate written agreement and additional compensation.

Website Types & Hosting Arrangements
CTM offers two hosting arrangements. Clients select one at the time of engagement:
Standard / Self-Hosted Website
Client selects, pays for, and owns their own hosting account (e.g., via WordPress.com, WP Engine, SiteGround, or similar). CTM provides the website build and delivers all files, credentials, and documentation upon completion and full payment. Client is solely responsible for hosting renewals, security, and ongoing maintenance unless a separate CTM maintenance plan is engaged.
CTM Hosted Account (WordPress / Lovable / AI-Assisted Platform)
The website is built and hosted on a CTM-managed account, which may utilize WordPress, Lovable, or another AI-assisted platform at CTM’s discretion based on project needs. A monthly hosting fee applies. All CTM Hosted Account-specific terms in Sections 3–7 apply to this arrangement.

AI-Assisted Development
CTM utilizes AI-assisted development tools and workflows to accelerate design, layout generation, optimization, and development efficiency. All final deliverables are reviewed, refined, and optimized by human professionals before delivery.
Included project pricing covers standard AI-assisted development usage necessary for normal project completion. Excessive revision requests, extensive regeneration, advanced feature requests, or unusually high-volume AI processing requirements may incur additional charges at CTM’s discretion when project usage substantially exceeds normal project scope.

Project Timelines
Standard project timelines begin only after:
- Payment is received
- Onboarding forms are completed
- Required assets are submitted
Estimated timelines:
- Sales Page Sprint: approximately 7 business days
- Website Refresh: approximately 7 business days
- Custom Website Builds: timeline varies by scope and is outlined in the project proposal
Delays in communication, missing assets, incomplete onboarding, or delayed approvals may extend project timelines. CTM is not responsible for delays caused by Client.

Client Responsibilities
The Client agrees to provide:
- Accurate business information and branding guidelines
- Required branding assets (logos, fonts, brand colors)
- Copy and written content
- Images and media
- Login credentials, where necessary
- Timely communication and approvals
CTM is not responsible for delays caused by incomplete or delayed client submissions. All materials supplied by Client may be provided digitally via email or shared drive in standard formats.

Revision Policy
Included revision rounds vary by package:
- Sales Page Sprint: 1 revision round
- Website Refresh: 2 revision rounds
- Custom Website Projects: revisions as outlined in the project proposal
Additional revisions beyond included rounds may incur additional charges. Revisions must remain within the original project scope. Major redesign requests, structural changes, additional sections or pages, or new functionality requests may require a revised proposal and additional fees.

Website Hosting (CTM Hosted Account)
If Client selects the CTM Hosted Account option:
- Hosting fees are billed monthly
- Hosting includes standard website hosting infrastructure only, unless otherwise specified in writing
- The hosting platform (WordPress, Lovable, or similar) is selected by CTM based on project requirements
Failure to maintain hosting payments may result in:
- Website suspension
- Website removal
- Interruption of service
Clients may request website transfer access if choosing to migrate to another hosting provider. Migration assistance may incur additional fees. Upon transfer, CTM’s ongoing responsibilities for the website cease.

Website Maintenance Plans
Where applicable, maintenance plans include:
- Regular software and plugin updates
- Security checks
- Backups
- Performance optimization
- Minor content updates
Maintenance plans do NOT include:
- Full redesigns
- Extensive copywriting
- Advanced integrations or custom development
- Major layout restructuring
- Additional page or section creation
Additional work outside the scope of the maintenance plan may be billed separately at CTM’s then-current rates.

Domain Name
Client shall register the domain name for the Website, or at Client’s request, CTM shall register it on Client’s behalf. Unless otherwise agreed in writing, Client shall be listed as the registrant and administrative contact. Client shall reimburse CTM for any registration fees incurred. Upon termination of services, CTM shall transfer the domain name to Client within five (5) business days.

Payment Terms
All projects require payment prior to project initiation unless otherwise agreed in writing. Custom projects requiring payment plans must remain current throughout the project timeline.
All invoices shall be paid within fifteen (15) days of receipt. Payments not made within this period are subject to late charges equal to the lesser of 1.5% per month of the overdue amount or the maximum amount permitted under applicable law. CTM may suspend all services on seven (7) days’ written notice until amounts outstanding are paid in full.
All payments are non-refundable once project work has begun. Failure to complete payments may result in paused development, delayed launch, or withheld deliverables.

Third-Party Services & Integrations
Client is responsible for all costs associated with third-party tools or platforms, including but not limited to:
- Domain registrations
- Email marketing platforms
- CRM systems
- Booking software
- Payment processors
- Premium plugins and apps

CTM is not responsible for outages, pricing changes, policy changes, or technical limitations caused by third-party providers. In the event any third-party product or license exceeds $50.00 per item, CTM shall obtain Client’s prior written consent before incorporating it.

CTM retains all right, title, and interest in and to its proprietary tools, workflows, methodologies, AI processes, templates, and pre-existing materials. Client receives a license to use only the final delivered website, not CTM’s underlying tools or processes.
Third-party licensed materials (stock images, plugins, fonts, etc.) remain the property of their respective licensors, and Client agrees to be bound by the terms of any applicable third-party licenses.

Confidentiality

Project Abandonment
If Client becomes non-responsive for more than thirty (30) consecutive days, CTM reserves the right to:
- Pause the project
- Archive project files
- Require a restart fee before resuming work
CTM is not responsible for missed deadlines or project delays resulting from Client non-responsiveness.

Term & Termination
Unless earlier terminated, project agreements continue until the website is delivered and accepted by Client. Either party may terminate with forty-eight (48) hours written notice upon:
- Mutual agreement to terminate within thirty (30) days of the start date
- A material breach not cured within thirty (30) days of written notice
- The other party commencing bankruptcy or receivership proceedings
Upon termination, Client shall pay for all work completed through the termination date. No refunds will be issued once project work has begun. CTM will deliver whatever work product and deliverables exist at the time of termination.

CTM warrants that all services will be performed in a professional and workmanlike manner. Any software, website, or technology-related deliverable will be free of material bugs or defects for thirty (30) days after delivery.
EXCEPT AS SET FORTH ABOVE, ALL SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CTM EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CTM MAKES NO WARRANTY OF ANY KIND WITH REGARD TO ANY THIRD-PARTY PRODUCTS, PLATFORMS, SOFTWARE, EQUIPMENT, OR HARDWARE.

Limitation of Liability
CTM shall not be held liable for:
- Lost revenue or profits
- Business interruption
- Data loss
- Third-party outages or platform failures
- Security breaches caused by external services
- Indirect, incidental, special, consequential, or punitive damages
CTM’s total aggregate liability for any claim arising out of or related to its services shall not exceed the total amount paid by Client to CTM under the applicable engagement. Client assumes responsibility for maintaining copies of their own business data and content.

Indemnification
Client agrees to indemnify, defend, and hold harmless CTM, its owners, employees, contractors, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) inaccurate information supplied by Client; (ii) Client’s use of deliverables in a manner not authorized by CTM; (iii) any breach of these Terms by Client; or (iv) Client’s negligence or willful misconduct.

Marketing & Portfolio Use
By engaging CTM, Client grants CTM the right to:
- Display completed work in CTM’s portfolio
- Use project screenshots, descriptions, and results in marketing materials and case studies
- Name Client as a CTM client in promotional materials
- Display a CTM credit and link on the footer of Client’s website
This right may be waived or restricted upon written request by Client. CTM will not disclose confidential business information when exercising these marketing rights.

Independent Contractor
CTM operates as an independent contractor. Nothing in these Terms creates an employment, joint venture, or partnership relationship between CTM and Client. CTM is solely responsible for all taxes, fees, and obligations arising from its own operations.

General Provisions
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Georgia. Any disputes shall be resolved in the state or federal courts located in Georgia.
Entire Agreement. These Terms, together with any project proposal, scope of work, or signed agreement, constitute the entire agreement between CTM and Client and supersede all prior understandings. They may not be modified except in a writing signed by both parties.
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of CTM’s right to enforce that provision in the future.
Force Majeure. Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including Acts of God, war, strikes, or natural disasters.
